Introduction

These terms and conditions explain the basis on which I provide services through this website and through any subsequent engagement. By using this website or engaging my services, you agree to these terms.

This website is operated by Orada Limited, a company registered in England and Wales. When these terms refer to 'I', 'me', 'my' or 'ORADA Consulting', they mean Orada Limited.

About My Services

I provide financial advisory, management accounting, strategic planning and related professional services to charities, nonprofits, small businesses and individuals. A full description of my services is available on the Services page of this website.

All services are provided on the basis of a separate engagement agreement or proposal agreed with each client before work begins. These terms and conditions apply alongside any such agreement.

The Free Consultation

I offer a free 30-minute initial consultation, bookable through this website. This call is an opportunity for us to understand your situation and explore whether we are a good fit to work together. It does not constitute the provision of formal financial advice and does not create a client relationship between us.

I reserve the right to decline to proceed with an engagement following the initial consultation, at my discretion.

Engagements and Proposals

Where we agree to work together, I will provide a written proposal or engagement letter setting out:

• The scope of services to be provided
• The fees and payment terms
• The expected timeline or duration
• Any specific terms relevant to that engagement

Work will not begin until the proposal has been agreed in writing. The terms of any individual proposal take precedence over these general terms where there is a conflict.

Fees and Payment

My fees are agreed in advance and set out in the engagement proposal. I do not carry out work on an open-ended or undisclosed-fee basis.

Unless otherwise agreed in writing:

• Invoices are due within 14 days of the invoice date
• Payment should be made by bank transfer to the details provided on the invoice
• Late payment may result in work being paused until the outstanding balance is settled

All fees are quoted exclusive of VAT where applicable. Any applicable taxes will be shown clearly on invoices.

What I Need From You

To provide my services effectively, I rely on you to:

• Provide accurate, complete and up-to-date information in a timely manner
• Inform me promptly of any changes that may affect the services
• Make decisions within a reasonable timeframe where required

I cannot be held responsible for errors, delays or omissions that arise from incomplete or inaccurate information provided by you.

Confidentiality

I treat all client information as strictly confidential. I will not disclose your information to any third party without your consent, except where required by law or regulatory obligation.

I ask that you treat any advice, reports or materials I produce as confidential and intended solely for your use, unless we agree otherwise in writing.

Intellectual Property

Any reports, templates, models or materials I produce for you as part of an engagement are provided for your use within that engagement. Ownership of such materials, and any underlying intellectual property, remains with Orada Limited unless explicitly transferred in writing.

You may not share, resell or reproduce materials I produce without my written permission.

Limitation of Liability

I provide financial advisory and management accounting services with reasonable skill and care. However:

• My advice is based on the information available to me at the time and should not be treated as a guarantee of any particular outcome
• I am not liable for decisions made by you or your organisation on the basis of my advice
• I am not a law firm and nothing I provide constitutes legal advice
• Where tax advice is provided, it is given in good faith based on current legislation, which may change

To the fullest extent permitted by law, my total liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Termination

Either party may end an engagement by giving reasonable written notice. What constitutes reasonable notice will depend on the nature and stage of the engagement, and will be specified in the individual proposal where relevant.

If you terminate an engagement part-way through, you remain liable for fees in respect of work already completed or committed to up to the date of termination.

I reserve the right to terminate an engagement immediately if you act in a way that is dishonest, unlawful or that makes it impossible for me to carry out my obligations.

This website is provided for information purposes. While I take care to keep the content accurate and up to date, I do not warrant that information on this site is complete, current or error-free.

I am not responsible for the content of any external websites linked from this site.

You may not use this website for any unlawful purpose or in any way that could damage, disable or impair the site.

Governing Law

These terms and conditions are governed by the laws of England and Wales. Any disputes arising in connection with these terms or my services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to These Terms

I may update these terms from time to time. Any changes will be posted on this page with an updated date. The terms in force at the time of your engagement apply to that engagement.
